Canada's Not-for-profit Corporations Act: A presentation and discussion led by:
- Andrew Pritchard, Senior Partner, Norton Rose Canada LLP
- Oliver Moore, Associate Lawyer, Business Law Group, Norton Rose Canada LLP.
The presentation will provide an overview of the changes and salient features of the new CNCA, with an emphasis on areas in which the law has changed. (The new Canada Not-for-profit Corporations Act (the "CNCA") came into force in October 2011.)
We will also address members' rights and governance, areas where the CNCA has made notable changes to the law. For instance, even non-voting members will have a right to vote on certain fundamental corporate changes. Ex officio directors will no longer be permitted. The CNCA also clarifies directors' duties and liabilities.
